Terms of Agreement
1. Scope of the Platform and Definitions
The Marketplace is a business-to-business (B2B) wholesale platform that connects registered buyers with registered suppliers for the browsing of products, the exchange of quotes and offers, the placement of orders, and the processing of payments. Throughout these Terms of Agreement, the following terms apply:
Platform means the marketplace website, its associated applications, and all related services operated by the platform provider. User means any person or legal entity that registers an account on the Platform, whether as a buyer or as a supplier. Buyer means a User who browses products, requests quotes, and places orders. Supplier means a User who lists products, responds to quotes, and fulfils orders. Order means a binding purchase agreement concluded through the Platform between a Buyer and a Supplier.
2. Obligations of the User
By registering and using the Platform, each User agrees to provide accurate, complete, and up-to-date information and to keep their account credentials confidential. Users must use the Platform only for lawful commercial purposes and must not misuse it to distribute harmful content, infringe the rights of others, or interfere with the operation of the Platform. Buyers and Suppliers are each responsible for the accuracy of the information they publish, for complying with all applicable laws and regulations, and for ensuring that any products or services offered meet the agreed specifications and quality standards.
3. Intellectual Property
All content made available through the Platform, including its design, software, text, graphics, logos, and other materials, is the property of the platform provider or its licensors and is protected by applicable intellectual property laws. Suppliers retain ownership of the product descriptions, images, and other materials they upload. By uploading such content, Suppliers grant the platform provider a non-exclusive, royalty-free licence to host, display, and process that content solely for the purpose of operating and improving the Platform. Users may not copy, reproduce, or redistribute Platform content without prior written permission.
4. Liability and Indemnification
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, the platform provider shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Platform or from any transaction between Buyers and Suppliers. Each User agrees to indemnify and hold harmless the platform provider and its personnel from any claims, losses, or expenses arising out of a User's breach of these Terms or a User's use of the Platform.
5. Payment Terms
Orders placed through the Platform are subject to the payment terms agreed between the Buyer and the Supplier and, where applicable, the payment terms published on the Platform. Prices are stated in the applicable currency and exclude taxes unless stated otherwise. Invoices must be paid within the agreed payment period, and late payments may be subject to interest and recovery costs. The platform provider may use third-party payment processors to handle transactions securely but is not itself a party to the underlying sale between Buyer and Supplier.
6. Dispute Resolution
Users are encouraged to resolve any disagreements amicably and in good faith. If a dispute cannot be resolved directly, the parties agree to first attempt mediation through the Platform's support channels. These Terms are governed by the laws of the Netherlands. Any dispute that cannot be resolved through negotiation or mediation shall be submitted to the exclusive jurisdiction of the competent courts of the Netherlands.
7. Changes and Termination
The platform provider reserves the right to modify or replace these Terms of Agreement at any time. Material changes will be communicated to Users through the Platform. Continued use of the Platform after such changes constitutes acceptance of the revised Terms. Either party may terminate an account at any time for any lawful reason. Upon termination, the User's right to access the Platform ceases, and any outstanding obligations, including payment obligations, shall survive termination.
